| I would like to no how do I setup the Shift-F3 function key using
xterm? What files do I need to change or add to?

That seems to be far too vauge for anyone to give any sort of answer.
xterms generally don't care whether you use shift-F3 or not and just
pass it to the program being run.
Perhaps you should start by telling us what software you want the
shift-F3 to be noticed by. Is it something to do with Cobol ? Does it
have a brand name ? Have you read the manual ?
